Official Rules & Regulations of the SNEWS® LLC / GORE-TEX® brand "Gore-Tex® Pro Shell My Way Viral Video training clinic contest"

Official Rules: Organized by: SNEWS LLC, referred to herein as “Organizer”, located at 101 W. McKnight Way, Ste B-305, Grass Valley, CA 95949. Sponsored by W. L. Gore & Associates, Inc., (Gore) referred to herein as “Sponsor”, located at 295 Blue Ball Rd., Elkton, MD 21921.

You must be a SNEWS® subscriber and employed by an approved outdoor specialty retail store that is an authorized dealer of GORE-TEX® Pro Shell partner brands including, but not limited to (Mountain Hardwear, Marmot, The North Face, Arc’Teryx, Outdoor Research, and Burton) to enter and win the prizes in the “Gore-Tex® Pro Shell My Way Viral Video” contest. Your entry constitutes your full and unconditional agreement to and acceptance of these Official Rules and Regulations. Subscription to SNEWS® for eligible contestants is FREE.

All entries must be received by 11:59 pm Pacific Time Zone, June 1, 2007

Eligibility: The SNEWS® / GORE-TEX® brand “Gore-Tex® Pro Shell My Way Viral Video” training clinic contest (the “Contest”) is open to legal residents of the United States and DC (with the exception of Florida) who are at least 18 years of age or older as of February 1, 2007, employed as a retail salesperson at an outdoor specialty retail store that is an authorized dealer of GORE-TEX® Pro Shell partner brands including, but not limited to (Mountain Hardwear, Marmot, The North Face, Arc’Teryx, Outdoor Research, and Burton), and who have an active email account, Internet access, and either a full-access paid SNEWS® subscription or a FREE SNEWS® subscription for outdoor retail staff. If you do not currently have a SNEWS® subscription, and you are a retail sales person working for an outdoor specialty store, apply for your FREE SNEWS® subscription by going to www.outsidebusinessjournal.com/freeretail/ProShellcontest.html. Upon confirming your employment, we will immediately activate a subscription so you can enter the contest. Employees of SNEWS® LLC, its advertising and promotional agencies, and any entity involved in the development, production, implementation, administration, or fulfillment of the Contest (all of the foregoing, together with Organizer and its Sponsor, collectively referred to as “Contest Entities”), and the immediate family members (parents, children, siblings, spouse) and persons living in the same household as such individuals (whether related or not), are not eligible to participate or win.

Entry: To enter, complete all required information on the online entry form located at https://www.outsidebusinessjournal.com/gorecontest and attach your video entry saved as a .mov file. All entries must be received by 11:59 pm Pacific Time Zone, June 1, 2007. One entry per person, household, and/or email address. Entries in excess of this limit will be void. Use of any automated or programmed entry method or any false email account or mailing address will void all entries made by that entrant.

Contest entries are limited to submissions from the first 100 qualified retail stores, though multiple entries from each of those 100 stores is permissible, with each entry guided by the submission rules in the previous paragraph.

Prizes: Product prizes will be awarded to the top 10 finalists and will come from contest Sponsor. Prizes will include a selection of actual product, and/or gift certificates, vouchers, etc.

The Grand Prize will be awarded to one of the 10 finalists. It is a trip for two to Outdoor Retailer Summer Market 2007 in Salt Lake City, all expenses paid (airfare, lodging, paddling and equipment testing during the Open Air Demo, transportation to and from the Demo (including access passes and use of demo equipment), transportation to and from the airport, and expense reimbursement payment to be used toward meal expenses that will not exceed $200. In addition, following Summer Market 2007, the Grand Prize winner and friend will enjoy a two-day, two-night adventure at Red Mountain Spa in St. George, Utah, accompanied by a Gore sponsored celebrity athlete.

Prizes are awarded by contest judges. All decisions of the judges and staff concerning the contest are final. Products and prizes have no cash value and may not be returned or exchanged for cash.

The contest officially opens for receipt of eligible entries on February 1, 2007. Receipt of Contest entries will end on June 1, 2007, 11:59 pm Pacific Time Zone. All valid entries will be considered for the 10 finalist prizes. The 10 finalists will be announced on or about July 10, 2007 via email to the contest entrants and posted on the SNEWS® website. The Grand Prize will be officially announced at Outdoor Retailer Summer Market 2007 as well as on the SNEWS® website at that time. The finalists will be selected by a panel of SNEWS® editors, representatives from the Contest Sponsor, and a panel of celebrity judges. Entries will be judged on creativity of presentation, authenticity, humor, and ability to effectively convey the key features and benefits of the new GORE-TEX® Pro Shell. The decisions of the panel are subjective and final. Odds of winning depend on the total number of valid entries received. Prizes may not be transferred or substituted except by Organizer and its Sponsor, who reserve the right to award a substitute prize of equal or greater value.

Claiming a Prize: The 10 finalists will be notified via email within 5 days following the judging using the email address they provided with their entry. Each contest winner will be contacted directly by the Contest Sponsor to fulfill the presentation of prize(s). All prizes must be claimed within 30 days. To claim his/her prize, a Contest winner must respond to the SNEWS® LLC prize notification email and complete the Affidavit and General Release included with such email. Prizes not claimed within 30 days will be forfeited. Organizer and Sponsor will select an alternative potential winner for any unclaimed forfeited prize. If an entrant changes his/her email address after he/she enters the Contest, it is his/her sole responsibility to notify the Organizer by (postal) mailing notice to the Organizer address (listed below) to be received by the end of the Contest period. Prizes will be shipped to winners at the Contest Sponsor’s expense to the retail store employing the winner. Contest Sponsor and SNEWS® LLC are not responsible for lost or stolen shipments or any prizes returned as undeliverable. Winner is solely responsible for all costs, incidentals, and any other expenses not specifically mentioned as being included. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes are sole responsibility of winner.

General Conditions: Additionally, by participating in this contest, you agree you are opting-in to specific offers from the Organizer and Sponsor, entrant’s entry information will be subject to the Organizer’s privacy policies and terms of service and entrant agrees to receive additional email communication from the Organizer and its Contest Sponsor. All Contest entrants agree that all submitted materials, including photographs, video, stories, winner’s name and likeness, become the property of and may be published, without additional compensation, of and by SNEWS® LLC and Gore, in SNEWS® LLC and/or Gore owned and licensed web sites, magazines, books, and other printed and electronic collateral material.

Limitations of Liability: The Contest Organizer or Sponsor are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. Entrants further agree to indemnify and hold harmless the Contest Organizer and Sponsor from any and all liability resulting or arising from the Contest, to release all rights to bring any claim, action or proceeding against the Contest Organizer and Sponsor, and hereby acknowledge that said Contest Organizer and Sponsor have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provided exclusively by a prize supplier that are sent along with a prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Contest, or a future Contest provided that it is not possible to award another entry due to discontinuance of the Contest, or any part of it, for any reason, Organizer, at its discretion. No more than the stated number of prizes will be awarded. In event that production, technical, or any other reasons cause more than stated number of prizes as set forth in these Official Contest Rules to be available and/or claimed Organizer reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action or litigation, arbitration or mediation, and exclusively by the United States District Court, Northern District of California or the appropriate California State Court located in Sacramento County, California U.S.A.; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Entrant understands and agrees that actual out of pocket expenses shall be no more than $100.00. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, or the rights and obligations of the entrant and Organizer in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A. without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
